Overview Job Title – Corporate Governance Specialist (Paralegal) Location – Remote Duration – 6+ Months (Will be converted FTE) Pay Range - $35 - $38 per hr. on W2 Key Responsibilities Corporate paralegal work for subsidiaries outside the U.S. Drafting corporate resolutions, officer/director resignations, dividend-related documents, entity formation documents, and providing assistance with company agreements. Supporting subsidiary management by drafting and coordinating corporate governance documentation. Working with local registrars and outside counsel. Managing secretary, banking, and KYC processes. Implementing intercompany process enhancements and preparing internal procedural documentation. Handling approvals for dividends and governance-related actions. Coordinating with internal legal and M&A teams. No heavy contract negotiation work. M&A experience is a plus, especially on the corporate side (comprehensive M&A experience not required). Candidate Requirements 5–10 years of relevant experience. Backgrounds acceptable : Law firm, public company, private company, Tech Ideally someone who has handled international subsidiaries documentation (resolutions, board consents, etc.). Familiar with international legal entity governance . Experience across Europe, Asia, China, Japan, India . Comfortable handling international corporate governance without needing to provide legal advice. Team Structure Part of the Corporate Legal team , which manages corporate governance for subsidiaries. Team includes Senior corporate paralegal, corporate attorneys, M&A team (paralegal role supports but doesn't lead M&A work). Reports into Corporate Governance/Legal function under the public company parent. #J-18808-Ljbffr
