Summary of Role Inceptiv is seeking a Senior Corporate & Transactional Paralegal to support a broad range of corporate and transactional matters. This senior-level role is ideal for a detail-oriented professional with significant in-house experience who can work independently while collaborating closely with attorneys and clients. Key Responsibilities Prepare and file corporate maintenance documents, including: entity formations and dissolutions, annual reports and amendments, foreign qualifications and good standing certificates. Manage and maintain corporate records for clients. Oversee and support transactional closings in coordination with responsible attorneys, including deal document preparation and management, signature solicitations and tracking, stock issuances and related documentation, and corporate and securities filings. Cap table management in Carta, Pulley and offline systems (initial setup, stock issuances, option grants and equity tracking). Assist with document collection, assembly, and mailing; coordinate and manage deal data rooms and perform document indexing and review. Support attorneys with contract negotiation and administration; contribute to internal and client-facing success initiatives. Assist with securities filings, including SEC Form D and state Blue Sky filings. Qualifications 6+ years of in-house or large law firm corporate and transactional experience. Demonstrated expertise in corporate filings and deal closings. Demonstrated expertise in employee equity (stock options, stock plan administration). Strong working knowledge of Carta and other cap table platforms. Highly organized with excellent attention to detail. Strong communication skills and a collaborative mindset. Comfortable working independently in a fast-paced environment. Credentials Location: This position is fully remote, however, Inceptiv is located in San Diego, so West Coast timezone is preferred.
